Company Registered Address in Ukraine: New Rules from 27 October 2026 under Law No. 5020-IX
From 27 October 2026 a registrar verifies the legal basis for using the premises listed as a company's registered address: what changed and which documents apply.

From 27 October 2026 Ukraine changed the procedure for state registration of a legal entity’s location. The state registrar now verifies not only the application but also the legal basis for using the real estate declared as the company’s registered address.
The change was introduced by Law of Ukraine No. 5020-IX of 14 October 2026 “On Property Valuation”, which amended Law No. 755-IV on state registration of legal entities, individual entrepreneurs and public formations. In practice, incorporating a company or changing its address now requires a documented legal link to specific premises.
What the registrar verifies
The registrar must establish whether there are legal grounds for using the property at the address declared as the legal entity’s location. If you are preparing registration of a company, this requirement should be considered before filing documents.
The check depends on the registration action: on incorporation the right of the founder — or at least one of the founders — is verified, while on a change of location the right of the legal entity itself is verified.
Incorporating a new company
When a new legal entity is registered, the registrar checks whether the founder or at least one founder has a legal basis for using the property at the declared address: ownership, another registered property right, or a right of use under a proper agreement.
Changing the address of an existing company
When an existing company changes its location, the check applies to the legal entity itself. The filing procedure for such an action is described on the change of registered address page.
The role of the State Register of Property Rights
The key source of verification is the State Register of Rights to Immovable Property. If ownership or another registrable property right is already recorded, the registrar takes the data directly from the register, and the applicant does not have to prove an obvious fact with paper documents.
What if the premises are leased
A company does not have to own its office. The legal basis may be a lease, sublease, loan-for-use agreement or another valid right of use. In the cases provided by law, a copy of the agreement is filed, and the registrar checks in the State Register whether the person named as landlord or lender actually owns the property. Typical terms of such an agreement are described on the lease agreement page.
An agreement with a person who cannot be confirmed as the owner does not solve the problem: paperwork alone, without registry data, gives the registrar no basis for a conclusion.
When registration can be refused
If the documents submitted and the information obtained in the manner prescribed by law do not establish a legal basis for using the property at the declared address, state registration may be refused. A registered address used to be treated as a formal detail — it is now part of a mandatory check.
Must every existing company re-confirm its address?
No. The new mechanism is tied to specific registration actions: incorporation of a legal entity and a change of its location. The effective date alone does not create a general obligation for all existing companies to re-confirm their address. But if a company decides to change its location, the new rules already apply.
Who is not covered
The law provides an exception: the verification requirements do not apply to registration actions concerning state bodies and local self-government bodies.
Checklist before registration
- Which exact address will be stated as the company’s location.
- Who owns the relevant premises.
- Whether the ownership right is recorded in the State Register of Property Rights.
- Whether the founder or the company has a proper legal basis for use.
- Whether the lease, sublease or loan-for-use agreement is properly executed.
- Whether an original agreement or a notarised copy is required.
- Whether the address matches across the agreement, the application and the property records.
- Whether missing registry data could lead to refusal.
Conclusion
From 27 October 2026 a company’s registered address is more than a text field in an application. On incorporation or a change of location the registrar verifies the actual legal basis for using the property, and if that basis cannot be confirmed, registration may be refused. Before filing documents, check both the agreement and the registration status of the property rights.
